UNICORYN™ TERMS & CONDITIONS

1. Introduction

1.1 UNICORYN™ (referred to herein as “we,” “us,” “our,” or the “Company”) operates a global educational, licensing, and commercialization platform for entrepreneurs, creators, and business owners (“Members,” “you,” or “your”).

1.2 By joining, accessing, or using UNICORYN™, including membership services, live masterclasses, licensing resources, case studies, tools, or any content (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

1.3 If you do not agree to these Terms, you must not access or use the Services.

2. Nature of Services

2.1 UNICORYN™ provides educational resources, coaching, insights, and commercialization guidance designed to assist Members in monetizing intellectual property, products, services, frameworks, and content.

2.2 No Guarantees: All Services are provided for informational, educational, and community purposes only. UNICORYN™ does not guarantee any financial, licensing, or commercial outcomes.

2.3 You acknowledge that all business decisions, financial decisions, and implementation of strategies are made at your sole discretion and risk.

2.4 UNICORYN™ is not a financial advisor, legal advisor, tax advisor, or investment company, and nothing in the Services should be construed as professional advice in these areas.

3. Membership & Payment

3.1 Membership Plans:

• Monthly Membership: $49 USD / month
  
  
• Annual Membership: $500 USD / year (saving $88 USD)
  
  

3.2 All payments are processed via secure third-party payment gateways.

3.3 Membership fees are non-refundable, and you assume all risk regarding the Services, content, and potential outcomes.

3.4 UNICORYN™ reserves the right to change fees, membership plans, or payment terms at any time, with notice provided on the platform.

4. No Guarantee of Results

4.1 UNICORYN™ makes no representation, warranty, or guarantee that Members will:

• License IP, products, services, or frameworks.
  
  
• Secure high-ticket deals or premium placements.
  
  
• Achieve any specific revenue or financial outcome.
  
  

4.2 Any examples, case studies, or hypothetical scenarios are illustrative only and do not guarantee similar results.

4.3 Members are solely responsible for independently verifying all information and making business decisions.

4.4 UNICORYN™ is not responsible for any errors, omissions, or inaccuracies in the Services or for decisions made based on them.

5. Intellectual Property

5.1 All content, tools, templates, materials, logos, and branding (“Materials”) provided by UNICORYN™ are the exclusive property of the Company or its licensors.

5.2 Members are granted a limited, non-transferable license to use the Materials for personal educational purposes only.

5.3 You may not copy, distribute, sell, or publicly display any Materials without prior written consent.

5.4 Any trademarks, service marks, or branding associated with UNICORYN™ are the property of the Company and may not be used without prior written permission.

5.5 UNICORYN™ reserves the right to update, modify, or remove any content or Materials at its sole discretion without prior notice.

6. Member Responsibilities

6.1 You represent and warrant that:

• Information provided to UNICORYN™ is accurate and truthful.
  
  
• You will comply with all applicable laws and regulations.
  
  
• You will not engage in illegal, fraudulent, or harmful conduct.
  
  

6.2 You are solely responsible for:

• Implementing strategies, templates, or guidance.
  
  
• Entering into contracts, licensing agreements, or commercial transactions.
  
  
• Any losses or disputes resulting from your own business decisions.
  
  

6.3 You acknowledge that your participation in UNICORYN™ may involve risks, including financial loss, reputational risk, or intellectual property disputes, and you assume full responsibility.

6.4 You agree to maintain the confidentiality of other Members’ private information and not to misuse the community or Services for unlawful purposes.

7. Indemnity

7.1 You agree to indemnify and hold harmless UNICORYN™, its officers, directors, employees, affiliates, contractors, and agents from any claims, losses, damages, or expenses, including legal fees, arising from:

• Your participation in UNICORYN™.
  
  
• Your use of the Services, Materials, or guidance.
  
  
• Any agreements, business dealings, or transactions you enter into.
  
  
• Any breach of these Terms.
  
  

7.2 This indemnity applies even if UNICORYN™’s materials or advice were incorrect, incomplete, or resulted in loss.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, UNICORYN™ is not liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities.

8.2 You agree that your participation is entirely at your own risk, and UNICORYN™’s total liability shall never exceed the amount you have paid.

8.3 UNICORYN™ is not responsible for delays, failures, or interruptions in Services due to technical issues, internet downtime, or force majeure events.

8.4 Nothing limits liability to the extent prohibited by law.

9. Sponsors & Growth Partners

9.1 Brands, businesses, or individuals participating as growth partners (“Sponsors”) acknowledge:

• UNICORYN™ provides no guarantee of leads, conversions, exposure, or commercial outcomes.
  
  
• Engagement metrics are indicative only.
  
  
• Sponsors conduct all promotional activities at their own risk.
  
  

9.2 UNICORYN™ is not responsible for disputes, claims, or losses arising from Sponsor interactions or marketing activities.

9.3 Sponsors agree to comply with all advertising laws, promotional guidelines, and applicable regulations.

10. Third-Party Links & Content

10.1 UNICORYN™ may provide links to third-party websites, products, or services.

10.2 We are not responsible or liable for the content, policies, products, or services of any third party.

10.3 You access third-party links at your own risk.

11. Community & Conduct

11.1 UNICORYN™ reserves the right to monitor and moderate all interactions, discussions, and content shared by Members.

11.2 You agree not to harass, abuse, or defame other Members, the Company, or any third party.

11.3 UNICORYN™ may remove posts, suspend accounts, or terminate membership for violations without notice.

12. Disclaimers

12.1 All Services are provided “as is” and “as available” without warranties of any kind, express or implied.

12.2 UNICORYN™ does not warrant the accuracy, reliability, or completeness of any information, guidance, or content.

12.3 You accept that results will vary, and UNICORYN™ is not liable for any lost opportunity, income, or business result.

12.4 You are responsible for seeking professional advice where required (legal, tax, financial, medical, or otherwise).

13. Termination

13.1 UNICORYN™ may terminate or suspend access at any time for:

• Breach of these Terms.
  
  
• Illegal, fraudulent, or harmful conduct.
  
  
• Any reason deemed appropriate by UNICORYN™ in its sole discretion.
  
  

13.2 Termination does not relieve Members or Sponsors from payment obligations, indemnities, or accrued liabilities.

14. Governing Law & Jurisdiction

14.1 These Terms are governed by the laws of New South Wales, Australia.

14.2 Members and Sponsors submit to the exclusive jurisdiction of the courts of NSW for any disputes.

15. Miscellaneous Protections

15.1 Entire Agreement: These Terms constitute the entire agreement.

15.2 Severability: Invalid provisions do not affect remaining Terms.

15.3 Waiver: Failure to enforce any right does not waive that right.

15.4 Assignment: Members may not assign rights or obligations without written consent.

15.5 No Agency: Nothing creates a partnership, joint venture, or employment relationship.

15.6 Force Majeure: UNICORYN™ is not liable for delays or failure caused by events beyond its control.

15.7 Non-Reliance: You acknowledge you have not relied on any representations not expressly set forth in these Terms.

15.8 Binding Effect: These Terms bind heirs, executors, administrators, and permitted assigns.

15.9 Release: You release UNICORYN™ from any claims, demands, or actions arising from participation, content, or third-party interactions.

16. Acknowledgment

By participating in UNICORYN™, you acknowledge and agree:

• You have read, understood, and accepted these Terms.
  
  
• You assume all risk of participation and outcome.
  
  
• You will not hold UNICORYN™, its employees, affiliates, or contractors liable for any losses, damages, or claims.
  
  
• You release UNICORYN™ from all liability and waive any right to sue or pursue claims in any forum.
